As you may know, The Aether Loop facilitates access to laboratory testing, including blood analysis evaluating hundreds of biomarkers. Our service provides access to these results in a convenient, meaningful, and easy-to-understand format, incorporating targeted insights from top health experts. Our mission is to empower you to make informed decisions about your health, ensuring a data-driven approach to longevity and wellness.

These Terms of Service (the "Terms") set forth the essential terms and conditions governing your use of our Services and Products, including any materials, data, information, and content available therethrough.

The Terms incorporate The Aether Loop’s Privacy Policy by reference in its entirety—as though fully stated herein. All references to these Terms shall refer, without limitation, to our Privacy Policy, as linked above. Please take the time to carefully review our Privacy Policy, as it outlines how we handle your data and ensure your privacy protection.

IMPORTANT NOTICE:

THESE TERMS AND CONDITIONS REQUIRE BINDING ARBITRATION OF DISPUTES ON AN INDIVIDUAL BASIS. EXCEPT AS OTHERWISE PROVIDED HEREIN, BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHTS TO:

(A) SEEK RELIEF IN A COURT OF LAW,
(B) HAVE DISPUTES DECIDED BY A JUDGE OR JURY, AND
(C) PARTICIPATE IN A CLASS ACTION LAWSUIT AGAINST THE AETHER LOOP.

LEGAL AGREEMENT

These Terms constitute a legally binding contract between you and The Aether Loop, governing your access to and use of our Services and Products, including but not limited to:

(a) Your use of the website [https://h.theaetherloop.com/] (the "Site") and its features.
(b) Any purchases and/or usage of our Services.

BY ACCESSING OR USING OUR SERVICES, INCLUDING THROUGH OUR WEBSITE, ADVERTISEMENTS, OR APPLICATIONS, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO BE FULLY BOUND BY THESE TERMS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

AGE REQUIREMENT

Our Services are available only to individuals aged eighteen (18) years or older. If you are under eighteen (18), you must immediately exit this website and may not access or use our Services or Products. At this time, The Aether Loop does not permit account creation or the submission of information regarding individuals under eighteen (18) years of age.

1. Definitions

a. "The Aether Loop," "Company," "us," "our," and "we" all refer to The Aether Loop, Inc., a Delaware corporation.

b. "You," "your," "yourself," and "User" refer to you, as an individual, plus any entity, individual, and/or organization on whose behalf you are acting in connection with our Services (defined below).

c. "Party" means each of you and The Aether Loop. Collectively, you and The Aether Loop are the “Parties”.

d. "Affiliates" refer to an entity's executives, employees, officers, directors, agents, attorneys, representatives, partners, joint ventures, parents, subsidiaries, successors, and assigns, collectively. An “Affiliate” refers to any one of the foregoing.

e. "Claims" refer to claims, disputes, controversies, matters, and causes of action, collectively. A “Claim” refers to any one of the foregoing.

f. "Losses" refer to liabilities, harms, losses, debts, damages, awards, expenses, fees, costs, penalties, and fines, collectively. A “Loss” refers to any one of the foregoing.

g. "Sample(s)" refer to any and all blood samples provided by The Aether Loop’s members to independent third-party laboratories for reporting in connection with The Aether Loop’s Services.

h. "Lab Results" refer to the results of any and all Sample analyses; however, Lab Results do not include the formatting of your Lab Results, the graphic representation of your Lab Results, or any other Aether Loop Content accompanying or otherwise furnished in connection with Lab Results obtained from independent third-party laboratories.

i. "Product(s)" refer to any and all products offered for sale and/or use in connection with our Services.

j. "Services" refer to any and all services arising out of and/or relating to The Aether Loop, including, but not limited to:

(a) Facilitating convenient access to third-party laboratory services for the purposes of collecting Samples.
(b) Providing convenient access to Lab Results, along with a detailed yet comprehensible and consumer-friendly report.
(c) Facilitating opportunities to connect with third-party medical professionals regarding test ordering and Lab Results.
(d) Providing informational content related to health, wellness, fitness, diet, and lifestyle, including but not limited to analysis of Lab Results.

Our Services further include, without limitation, software applications, AI-powered health insights, text and SMS messaging, websites, emails, social media accounts, and the creation, publication, exhibition, and distribution of Aether Loop Content.

NEITHER THE AETHER LOOP NOR OUR AFFILIATES PROVIDE ANY MEDICAL ADVICE, CARE, OR OPINIONS THROUGH OUR SERVICES. USE OF OUR SERVICES DOES NOT ESTABLISH A DOCTOR-PATIENT RELATIONSHIP WITH THE AETHER LOOP OR ITS AFFILIATES.

k. "Aether Loop Content" refers to any and all data, information, content, material, and intellectual property available through our Services, including, but not limited to:

Code, data, text, images, multimedia content, designs, graphics, illustrations, photographs, banners, messages, videos, visual interfaces, features, functionalities, and software applications.
Aether Loop Content explicitly excludes Personal Information and User Content.

l. "User Content" refers to any text, photos, graphics, images, video, audio, multimedia, and other materials that you create, modify, post, provide, upload, send, or share in connection with our Services.
User Content does NOT include passwords, contact information, Personal Information, or "protected health information" under HIPAA—those are governed separately by our Privacy Policy.

m. "Payment Information" refers to financially sensitive information that enables purchases, such as credit/debit card numbers, CVCs, expiration dates, and PINs.

n. "Payment Method" refers to a valid, current, accepted means of remitting payment for Services, as permitted by The Aether Loop—typically via valid, current, accepted Payment Information.

o. "Personal Information" refers to the same definition outlined in our Privacy Policy, including information about an individual's health background (e.g., medical history, blood type, conditions, symptoms), Samples, and Lab Results.

Personal Information does not include "protected health information" under the Health Insurance Portability and Accountability Act (HIPAA) or other applicable law. Any HIPAA-protected data is governed separately under our Privacy Policy.

2. The Aether Loop Does Not Provide Any Medical Services

In order to use our Services, you must acknowledge and agree to the following:

a. THE AETHER LOOP DOES NOT OFFER MEDICAL ADVICE, A DIAGNOSIS, MEDICAL TREATMENT, OR ANY FORM OF A MEDICAL OPINION THROUGH OUR SERVICES OR OTHERWISE. All material, information, data, and content provided by The Aether Loop through our Services—including AI-powered insights—are strictly for general informational purposes only.

b. OUR SERVICES, INCLUDING AI-POWERED FEATURES, ARE NOT A SUBSTITUTE FOR QUALIFIED MEDICAL CARE, PROFESSIONAL MEDICAL ADVICE, OR DISCUSSIONS WITH YOUR OWN HEALTHCARE PROVIDER. The Aether Loop strongly encourages you to consult a licensed healthcare professional regarding any diagnosis, treatment, or course of care. You acknowledge and agree that you will not delay in seeking care or disregard medical advice based on information obtained through our Services, including AI-powered insights.

If you believe you are experiencing a medical emergency, dial 9-1-1 immediately.

Accessing The Aether Loop’s Content, Services, and Products does not establish a patient-provider relationship with any medical professional or laboratory. A patient relationship is only formed when you receive care directly from a medical provider or laboratory. Additionally, you acknowledge and agree that you have independently selected each medical provider or laboratory and that no third party, including The Aether Loop, has referred, recommended, or suggested any provider or laboratory to you.

c. To the fullest extent permitted by applicable law, you agree to use our Services and rely on the materials, data, content, and insights at your own risk. The Aether Loop disclaims all liability arising out of or relating to reliance on our Services—including AI-powered insights, Lab Results, and other information.

3. Exercise Caution Regarding Our Services & Your Lab Results

a. The Aether Loop aims to provide you with accurate and comprehensive access to your Lab Results. However, you acknowledge that your Lab Results may not align with expectations and could contain potentially distressing or life-altering information. If anxiety regarding pending Lab Results interferes with your daily life, The Aether Loop strongly recommends consulting a qualified healthcare professional for support.

b. You acknowledge that the process of reviewing Lab Results is irreversible—once accessed, you cannot unknow your results. Before using our Services, it is advisable to consult with a licensed medical professional regarding whether, when, and to what extent you should review such results, based on your health history and personal circumstances.

c. Certain laboratory tests require a blood sample. You acknowledge the potential risks associated with blood sample collection, including bruising, hematoma, lightheadedness, fainting, infection, and excessive bleeding. You may experience slight to moderate discomfort when pricked with a needle for blood collection. If you are at elevated risk of harm due to underlying health conditions or a fear of needles, The Aether Loop recommends consulting with a licensed physician before proceeding.

d. While The Aether Loop strives to facilitate accurate and complete Lab Results, you acknowledge that:

Your Sample may yield incomplete or inaccurate Lab Results.
The Aether Loop does not warrant the accuracy, completeness, usefulness, timeliness, or precision of Lab Results delivered through our Services.
Science and medical knowledge evolve over time, meaning some Lab Results may have limited significance initially but may become more meaningful as research advances.

e. The Aether Loop recommends careful discretion in deciding:

Which aspects of your Lab Results to share,
How you share them (e.g., strongly discouraging posting Lab Results on social media), and
With whom you share your Lab Results.

Additionally, if you choose to disclose your Lab Results or Personal Information with a healthcare provider, such data may become part of your medical records and could be accessible to insurance providers and other healthcare organizations, except where limited by applicable law.

4. Only Eligible Individuals May Use Our Services

a. Eligibility
By accessing our Services, you represent that you:

Are of sound mind and body to agree to our Terms.
Have full rights and authorization to:

(i) Consent to these Terms.
(ii) Agree to and pay for any purchase made by you, whether for yourself or a third party.
(iii) Authorize all rights and licenses granted to The Aether Loop and assume all responsibilities, liabilities, debts, and obligations herein required.
(iv) Submit any Personal Information or other data provided in connection with our Services.

You must be eighteen (18) years of age to use The Aether Loop’s Services.

b. Non-Eligibility
We reserve the right to terminate your use of and access to our Services—and cancel any purchases—if you violate these Terms or any other agreement between you and The Aether Loop. Additionally, you may not use our Services if you are:

(i) Restricted or prohibited from using our Services.
(ii) A past, present, or imminent competitor of The Aether Loop, or closely connected to one.
(iii) Acting on behalf of another person or entity without their permission.
(iv) Under any legal obligation that restricts or prohibits your use of our Services.
(v) Unwilling to fully agree to and follow all of our Terms.

c. No Guarantees Regarding Eligibility
While we strive to maintain a strict eligibility framework, we do not guarantee that every user meets our criteria. There may be instances where ineligible individuals gain access to our Services.

d. Immediate Termination
If you become ineligible to use our Services, you must immediately cease all use. You further agree to notify us by emailing [support@theaetherloop.com] with the subject "End Use", including relevant details about your cessation of service.

e. Additional Terms & Conditions
To purchase or use certain Services and/or Products, The Aether Loop may require you to:

Enter into separate agreements or
Accept additional terms and conditions

These additional terms are incorporated by reference into these Terms. In the event of a conflict, the additional terms will govern only for the conflicting provisions.

5. If Eligible, You Are Granted a Limited License to Use Our Services

a. As long as you remain eligible, The Aether Loop grants you a limited, non-exclusive, non-assignable, non-transferable, non-sublicensable, and fully revocable license to access and use our Services for personal, non-commercial purposes in accordance with these Terms.

The Aether Loop reserves the right to suspend, limit, or revoke this license at any time, for any reason, with or without notice.

i. This license does not grant you permission to access paid Services without first remitting payment. To receive certain Products or Services, you may be required to provide Payment Information and complete a purchase.

ii. You may download or print a reasonable volume of Aether Loop Content for personal use, provided you comply with these Terms. You may also download a single copy of any application The Aether Loop makes available for download, provided such use is strictly personal and non-commercial.

iii. You may store files automatically cached by your web browser and temporarily store copies of Aether Loop Content in RAM, as needed for access and use.

b. Creating an Account
You may create one account for yourself, as an individual aged 18 or older. You may also create an account for another adult who has given prior express written consent for you to do so.

To create an account, The Aether Loop may require certain Personal Information, including:

Email address
Race/ethnicity
Height/weight
Blood type
Health history, present conditions, and symptoms

Our Lab testing partner SiPhox may require the following information to process blood testing requests:

First and last name
Date of birth
Address

You represent and warrant that all information you provide is truthful, accurate, complete, and up to date. You further agree to update any outdated or incorrect information immediately upon discovery.

c. Account Security & Responsibilities
You acknowledge and accept that The Aether Loop attributes all actions and usage of your account to you.
To the fullest extent permitted by law, you:

Are responsible for maintaining the security of your password, account information, and Personal Information.
Must keep such information confidential at all times.
Accept full responsibility for any disclosure or failure to protect your account.
Agree that The Aether Loop and its Affiliates are not liable for unauthorized access or misuse of your account.

If you suspect a breach of your account security, you must notify us immediately.

d. Electronic Communications Notice
By agreeing to these Terms, you consent to receive non-secured email, mobile text messages, or electronic communications ("E-Messages") regarding our Services.

You acknowledge that E-Messages are not confidential, and third parties—including employers, internet providers, or others monitoring internet traffic—may be able to intercept these messages. You accept the risks associated with transmitting Personal Information via unsecured means.

e. Account Deactivation & Termination
You may deactivate or delete your account with The Aether Loop at any time by emailing [support@theaetherloop.com].

i. Deactivating or terminating your account does not guarantee a refund, credit, or discount. Additionally, The Aether Loop reserves the right to remove or delete your account, Personal Information, and/or User Content at its sole discretion.

ii. Termination of your agreement to these Terms does not impact any accrued rights or remedies related to breaches of representations, warranties, or obligations. Certain provisions will survive termination, including those related to:

Waivers
Assumption of risk
Liability limitations
Indemnifications
The Aether Loop’s licenses to use data and User Content

If a provision of these Terms conflicts with this subsection, only the conflicting provisions will be severed.

iii. As permitted by law, The Aether Loop may retain and use your Personal Information even after account deletion. For further details, refer to our Privacy Policy.

6. Use of AI Chat

a. AI Chat Functionality
AI Chat is a generative AI-powered chatbot designed to respond to user inquiries with automatically generated replies. Users can input prompts, questions, and requests (collectively, “Inquiries”), and AI Chat will generate responses based on available general resources and informational tools (each, a “Response” and collectively, “Responses”). Any such Responses constitute Aether Loop Content as defined in these Terms.

AI Chat leverages third-party artificial intelligence tools, platforms, and algorithms (collectively, the “AI Tools”) to process and analyze Inquiries. By using AI Chat, you consent to The Aether Loop sharing, processing, and disclosing all Inquiries and other User Content with AI Tools to complete requests, analyze data, and generate Responses as described in these Terms. AI Tools are subject to the conditions in Section 11, and you consent to the monitoring, recording, and processing of AI Chat interactions.

YOU ACKNOWLEDGE AND AGREE THAT AI CHAT IS NOT A HUMAN AND IS NOT A SUBSTITUTE FOR HUMAN INTERACTION OR PROFESSIONAL ADVICE. AI Chat does not provide medical advice, diagnosis, treatment, or any clinical opinion. Generative AI technology can produce inaccurate or misleading information.

YOU UNDERSTAND THAT AI CHAT IS A TOOL DESIGNED TO SUPPLEMENT—NOT REPLACE—YOUR INDEPENDENT VERIFICATION, JUDGMENT, AND CONSULTATION WITH QUALIFIED HEALTHCARE PROVIDERS.

b. Conditions of Use
By using AI Chat, you confirm that you are not seeking medical attention or clinical services through this chatbot. You further agree not to use AI Chat (or permit third parties to use it) in a manner that:

Encourages, facilitates, or involves illegal activity, violence, terrorism, or criminal conduct.
Is harmful, threatening, abusive, defamatory, deceptive, fraudulent, or invasive of privacy.
Posts unauthorized photos of individuals.
Contains obscene, sexual, profane, or violent content.
Promotes hate speech, discrimination, or exploitation based on race, gender, sexual orientation, nationality, or religious affiliation.
Includes confidential or proprietary information protected under contracts or non-disclosure agreements.
Harms minors, solicits sensitive information, or impersonates another person.
Manipulates identifiers, disguises content sources, or attempts to identify anonymous users.
Attempts to obtain, submit, or process protected health information as defined under HIPAA.

YOU ACKNOWLEDGE THAT AI CHAT RESPONSES ARE GENERATED BASED ON USER INPUT AND THAT THE AETHER LOOP DOES NOT CONTROL OR GUARANTEE THE ACCURACY OF SUCH CONTENT.

c. AI Chat Limitations and Disclaimer
AI Chat Responses are provided “AS IS” and “WITH ALL FAULTS.” The Aether Loop makes no warranties regarding the accuracy, completeness, or timeliness of any Responses.

THE AETHER LOOP DOES NOT GUARANTEE THE SECURITY OR PRIVACY OF USER CONTENT TRANSMITTED THROUGH AI CHAT.

Generative AI technology may produce mistakes, misleading information, or hallucinations. You should independently verify any AI-generated Responses before making decisions based on them.

AI CHAT IS NOT A SUBSTITUTE FOR EXPERT RESEARCH, DUE DILIGENCE, OR MEDICAL CONSULTATION. Responses are entirely dependent on the user’s input, and The Aether Loop is not responsible for verifying the accuracy of the information provided.

You, not The Aether Loop, are responsible for:

Ensuring the accuracy of AI-generated content.
Making informed decisions based on independent verification.
Complying with laws and regulations governing AI-generated data.
Indemnifying The Aether Loop from claims related to AI Chat usage.

YOU UNDERSTAND THAT AI CHAT DOES NOT GUARANTEE ACCURATE OR CUSTOMIZED RESPONSES AND THAT AI TECHNOLOGY IS SUBJECT TO RAPIDLY EVOLVING LAWS AND REGULATIONS. YOUR USE OF AI CHAT MUST COMPLY WITH ALL APPLICABLE LEGAL AND COMPLIANCE REQUIREMENTS.

The Aether Loop does not endorse, guarantee, or assume responsibility for the accuracy, completeness, or appropriateness of any information received through AI Chat. AI-generated content should not be relied upon for medical, legal, financial, or professional decisions.

7. Further User Representations, Warranties, & Covenants

a. You covenant that you shall not sell, rent, lease, barter, recreate, reproduce, copy, modify, create derivative works from, license, sublicense, distribute, publish, republish, perform, transmit, transfer, display, distribute, exhibit, exploit, or make commercial use of our Services, or any aspect thereof (including without limitation Aether Loop Content) without the prior express written consent of The Aether Loop and/or the applicable third-party licensor or provider. You acknowledge that you are strictly forbidden from doing any of the foregoing and represent that you have not engaged in any such actions up to this point.

b. You covenant that you shall not directly or indirectly resell or export any aspect of our Services or any of our Products—including, but not limited to:

Our facilitation of access to third-party laboratory and telemedicine services
Any Lab Results
Any personalized materials or analyses
Any Aether Loop Content

You represent that you have not engaged in any such activities up to this point.

c. You represent and warrant that you are neither:

An employer seeking information regarding an employee, nor
A person acting on behalf or in furtherance of an insurance company seeking information about a prospective or actual customer.

d. You represent that you have not violated and covenant that you shall not violate any export control laws or other restrictions on shipping to foreign countries while purchasing or using The Aether Loop’s Services or Products.

8. You Must Be Reasonable and Fair in Accessing and Using Our Services

a. General Guidelines
The Aether Loop’s rules for accessing and using our Services are designed to be straightforward. To ensure a positive experience, please follow these key principles:

Treat The Aether Loop, our Affiliates, service providers, and our community members with kindness and respect.
All information you provide must be complete, truthful, and up to date.
Do not attempt to disrupt our technology or misappropriate our intellectual property.
Follow all applicable laws and regulations when using our Services and Products.

b. Prohibited Uses
By using our Services, you represent that you have not engaged in and will not engage in any of the following activities:

Violating local, state, federal, and/or international laws, rules, or regulations.
Violating municipal, administrative, or professional standards.
Engaging in fraud, misrepresentation, impersonation, or identity theft.
Exploiting or harming minors, disclosing a minor’s information, or violating a minor’s privacy.
Submitting false, misleading, outdated, or inaccurate Personal Information.
Engaging in illegal or deceptive business practices.
Violating The Aether Loop’s rights, the rights of our Affiliates, licensors, service providers, or any related third parties.
Infringing third-party intellectual property or privacy rights.
Unauthorized use or disclosure of third-party Personal Information.
Engaging in harassment, trolling, intimidation, stalking, hate speech, bigotry, racism, prejudice, threats of violence, or other abusive behavior.
Posting obscene, lewd, sexually explicit, or pornographic content.
Engaging in slander, defamation, or libel.
Offering or attempting to provide professional services or advice (e.g., medical, financial).
Implying an affiliation with or endorsement by The Aether Loop.
Attempting to disrupt or interfere with our Services and operations.

c. Malicious Content and Unethical Conduct
You agree not to introduce or circulate malicious content, code, files, or programs, including but not limited to:

Phishing, harvesting, spamming
Viruses, spyware, worms, Trojan Horses, time bombs, or keystroke loggers

Additionally, you shall not:

Engage in deceptive business practices.
Circulate chain letters, junk mail, pyramid schemes, or unsolicited advertisements.

d. System Security and Integrity
You shall not attempt to:

Impair, disrupt, overburden, damage, or interfere with The Aether Loop’s technology, systems, or operations.
Modify, tamper with, or attack any aspect of our Services or those of our Affiliates, licensors, and third-party providers.
Engage in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.

e. Unauthorized Reverse Engineering and IP Misuse
You shall not:

Decompile, disassemble, reverse engineer, modify, or duplicate any aspect of The Aether Loop’s Services or Content.
Rebrand, mimic, or leverage Aether Loop Content to develop separate products or technologies.
Display Aether Loop Content out of context or separated from its accompanying text.

f. Unpermitted Copying, Indexing, and Distribution
You shall not:

Index, copy, extract, download, or retrieve any part of our Services, including Aether Loop Content using spiders, crawlers, data miners, or similar tools.
Link or deep-link to The Aether Loop’s site or Services without prior consent.
Use framing or mirroring techniques to enclose Aether Loop Content.
Delete, alter, or remove copyright notices, trademark notices, or proprietary designations.
Circumvent digital rights management or security protections.

Public search engine operators are granted a limited, revocable, non-sublicensable right to index Aether Loop Content strictly for legitimate development of a public index.

g. Commercial Use Restrictions
You shall not:

Sell, rent, lease, barter, recreate, reproduce, copy, create derivative works, license, sublicense, publish, perform, transmit, transfer, distribute, or commercially exploit Aether Loop Content or any aspect of our Services without prior express written consent.

h. Responsibility for User Content
You are solely responsible for any User Content that you provide. Any User Content submitted to The Aether Loop is at your own risk, and The Aether Loop shall not be responsible or liable for any Losses related to User Content.

9. The Aether Loop Holds and Reserves Numerous Rights

a. Modifications and Service Adjustments
At any time, for any reason, with or without notice, The Aether Loop reserves the right to update, improve, modify, alter, limit, suspend, discontinue, or reintroduce any of our Services, including but not limited to features, specifications, pricing, availability, and timeframes. This includes, but is not limited to, all Aether Loop Content, User Content (including your own), and technologies, applications, and services supporting our platform.

You agree that The Aether Loop may update or modify these Terms at any time, in our sole discretion. Your continued use of our Services after such changes constitutes your unconditional acceptance of the revised Terms. You are responsible for regularly reviewing our Terms, as modifications are binding. This provision also applies to our Privacy Policy, which is incorporated by reference into these Terms.
You acknowledge and agree that The Aether Loop may refuse, suspend, terminate, ban, or restrict access to our Services for any person—including you—at any time, for any reason, without liability for any Losses incurred. Certain portions of our Services may require account creation or payment, and acceptance of these Terms alone does not guarantee access to paid features.

YOU AGREE TO RELEASE THE AETHER LOOP AND OUR AFFILIATES AND HOLD US HARMLESS FROM ANY CLAIM ARISING OUT OF OR RELATING TO SUCH INTERACTIONS OR INDIVIDUALS.

YOU AGREE TO RELEASE THE AETHER LOOP AND OUR AFFILIATES AND HOLD US HARMLESS IN CONNECTION WITH ANY DECISION YOU MAKE REGARDING:

THE SELECTION, PURCHASE, OR USE OF A PRODUCT, SERVICE, OR OTHER OFFERING.
WHETHER AND TO WHAT EXTENT TO PURSUE MEDICAL CARE OR HEALTHCARE SERVICES.

Additionally, if a medical provider is not your primary care provider, it is your sole responsibility to follow up with your primary care provider on any medical conditions or treatments suggested by any other provider. You must obtain a medical examination to assess the findings—or lack of findings—presented in your treatment plan.

YOU AGREE TO CAREFULLY REVIEW AND FOLLOW ALL INSTRUCTIONS PROVIDED BY THE AETHER LOOP, OUR AFFILIATES, AND THIRD-PARTY PARTNERS AND PROVIDERS REGARDING OUR SERVICES AND PRODUCTS.

YOU ALSO AGREE TO ASSUME THE COST OF ANY REPAIRS ARISING FROM OR RELATING TO YOUR USE OF OUR SERVICES, PRODUCTS, OR RELATED THIRD-PARTY OFFERINGS.

13. Terms Governing Your Purchase of Services and Products

Share payment and fulfillment details with our payment processors, laboratory partners, clinicians, shipping providers, and other service providers as reasonably necessary to process your order and deliver Services/Products.
Suspend or limit access to Services for non-payment or invalid payment methods.

You represent and warrant that the account or institution associated with your payment method will honor charges you incur and that you remain responsible for any amounts that are denied or reversed.

(b) Monthly Subscription – Auto-Renewal, Cancellation & Refunds

Auto-renewal. Your subscription renews monthly until you cancel. We will charge your payment method on or about the same calendar day each month.
Cancellation. You may cancel anytime through your account settings or by emailing support@theaetherloop.com. Cancellation is effective at the end of the current billing period; you will continue to have access until then.
Refunds. Fees for the current billing period are non-refundable (including partial months), except where required by law or where we expressly state otherwise in a promotion.
Price changes. We may change subscription prices with advance notice; changes take effect on the next renewal after notice.

(c) Paid Practitioner’s Review (Third-Party Clinicians)

Scheduling & delivery. Doctor reviews are provided by independent clinicians. We facilitate reviews and delivery but do not provide medical care or practice medicine.
Cancellations & refunds. You may cancel for a full refund up to 24 hours before the scheduled review time. Within 24 hours, or after the review is performed or delivered, the fee is non-refundable. If a clinician cancels or is unavailable, we will reschedule or refund at your election.
No emergency or ongoing care. Reviews are informational and are not a substitute for diagnosis, treatment, or emergency care.

(d) Blood Testing with Third-Party Laboratory Partners

Order & fulfillment. Lab test kits, phlebotomy appointments, and sample processing are fulfilled by third-party labs under their procedures and eligibility rules.
Refunds before shipment/appointment. Refunds may be issued if you cancel before a kit ships or before a phlebotomy appointment is scheduled, subject to the lab’s policies.
After shipment. Once a kit has shipped, the order is non-refundable. Labs do not accept kit returns.
Damaged/defective kits. If a kit arrives damaged or incomplete, notify support@theaetherloop.com within 48 hours of delivery. We will coordinate a replacement in line with the lab’s policies.
Processing issues. If a sample cannot be processed due to lab error, we will coordinate re-testing or other remedy per the lab’s terms.

(e) Affiliate Product Purchases (Third-Party Merchants)

Affiliate relationship. For certain products, The Aether Loop acts as an affiliate. Your purchase is with the third-party merchant, not with The Aether Loop.
Merchant policies govern. The merchant’s pricing, shipping, warranty, return, and refund policies apply. We do not accept returns or issue refunds for affiliate purchases.
Help with issues. We may assist you in contacting the merchant, but final decisions on refunds/returns are the merchant’s.

(f) Damaged or Non-Conforming Deliveries (Scope Limited)

For lab kits only: risk of loss passes upon delivery to your address/carrier pickup point. Report shipping damage or non-conformity within 48 hours to support@theaetherloop.com so we can coordinate with the lab for replacement under the lab’s policies.
For affiliate products: report issues directly to the merchant under its posted policies.

(g) Refund Processing

Refunds that we approve are generally initiated within 10–15 business days to your original payment method; the time for funds to appear may vary by bank or card network.
Where a lab, clinician, or merchant is the refunding party, timing is governed by their policies. The Aether Loop is not liable for delays outside our control.

(h) Taxes, Pricing & Errors

Prices are shown exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes. We may correct pricing or typographical errors and cancel/refund affected orders not yet fulfilled.

(i) Prohibited Resale; No Transfer

Services (including subscriptions and doctor reviews) are personal to you and may not be resold, transferred, or assigned without our prior written consent.

(j) Chargebacks & Disputes

If you believe a charge is in error, contact us first at support@theaetherloop.com. Initiating a chargeback without first providing us a reasonable opportunity to resolve the issue may result in account suspension.

14. Indemnification, Limitation of Liability, and Waiver of Injunctive Relief

a. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT NEITHER THE AETHER LOOP NOR OUR AFFILIATES SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, RELIANCE, OR SPECIAL DAMAGES—OR FOR ANY LOSSES ARISING THEREFROM OR RELATING THERETO—REGARDLESS OF:

(i) The nature and theory of liability,
(ii) The foreseeability of harm or damages,
(iii) Whether The Aether Loop was advised of the possibility of harm or damages,
(iv) Whether substitute goods or services were acquired, and
(v) Whether a remedy failed in its essential purpose.

IF YOU ARE NOT FULLY SATISFIED WITH OUR SERVICES OR ANY PORTION THEREOF, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF OUR SERVICES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE MAXIMUM AGGREGATE LIABILITY FOR THE AETHER LOOP AND OUR AFFILIATES IN CONNECTION WITH OUR SERVICES, PRODUCTS, AND THESE TERMS SHALL BE THE GREATER OF:

(i) $10.00 USD, OR
(ii) Amounts actually paid by you for the applicable Services and/or Products.

This limitation of liability does not apply to:

(a)The Aether Loop’s gross negligence or willful misconduct;

(b) bodily injury or death directly and proximately caused by The Aether Loop;

(d) data security breaches caused solely by The Aether Loop. This limitation of liability applies, without limitation, to loss of use, revenue, profits, business opportunities, property damage, harm to reputation, loss of goodwill, privacy violations, emotional distress damages, business interruption, data loss or corruption, and technical malfunctions.

Additionally, this limitation applies without restriction to The Aether Loop’s Services, including but not limited to:

Facilitation of third-party laboratory services,
Receipt of Lab Results,
Facilitation of third-party telemedicine services,
Information sharing,
Research, data compilation, and analysis, and
Content creation.

b. Waiver of Injunctive Relief
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT YOU SHALL NOT ATTEMPT TO ENJOIN OR OTHERWISE RESTRAIN THE AETHER LOOP FROM PROVIDING SERVICES.

YOU ARE NOT ENTITLED TO SEEK INJUNCTIVE OR EQUITABLE RELIEF IN CONNECTION WITH OUR SERVICES. Nothing in this Section limits either party’s right to seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information, or to enforce the arbitration provisions in Section 17.

This provision applies, without limitation, to The Aether Loop’s:

Facilitation of third-party laboratory services,
Receipt of Lab Results,
Facilitation of third-party telemedicine services,
Information sharing,
Research, data compilation, and analysis, and
Content creation.

c. Waiver of California Civil Code § 1542 and Similar Provisions
UNDER CALIFORNIA CIVIL CODE SECTION 1542, A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN MIGHT HAVE MATERIALLY AFFECTED THE SETTLEMENT.

IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 FOR ANY AND ALL MATTERS ARISING OUT OF, RELATING TO, OR CONCERNING:

The Aether Loop and our Affiliates,
Our Services and Products,
Your Personal Information,
These Terms, and
Any agreement between you and The Aether Loop.

IF YOU RESIDE IN A STATE OR JURISDICTION WITH LEGAL PROTECTIONS SIMILAR TO CALIFORNIA CIVIL CODE § 1542, YOU WAIVE ALL SUCH PROVISIONS AND PROTECTIONS IN CONNECTION WITH THE ABOVE-MENTIONED MATTERS.

d. Indemnification Obligations
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless The Aether Loop, our Affiliates, officers, directors, employees, and agents from and against any third-party claims, demands, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) to the extent arising out of: (i) your breach of these Terms; (ii) your violation of law or any third-party right; (iii) your intentional misconduct or gross negligence; or (iv) your misuse of the Services or Products. This indemnity does not apply to the extent a claim is caused by The Aether Loop’s gross negligence, willful misconduct, or violation of law. THIS INDEMNIFICATION PROVISION APPLIES, WITHOUT LIMITATION, TO:

(i) Your use or misuse of The Aether Loop’s Services, Products, and third-party offerings.
(ii) Your actions taken as a result of Lab Results or Aether Loop Content.
(iii) Any third-party medical opinions, recommendations, treatments, or advice associated with your use of our Services.
(iv) Any disclosure, decision, act, or omission based on Lab Results or Aether Loop Content.
(v) Any self-reported information or data you provide to The Aether Loop, our Affiliates, licensors, or third-party service providers.
(vi) Your failure to maintain the security of your password, account information, or Personal Information.
(vii) Your violation of any third-party rights, including but not limited to privacy, confidentiality, or intellectual property rights.
(viii) Your violation of any provision of these Terms, including breaches of representations, warranties, or covenants.

THIS INDEMNIFICATION APPLIES TO ALL CLAIMS, WITHOUT EXCEPTION.

YOU ACKNOWLEDGE AND AGREE THAT THE AETHER LOOP RESERVES THE EXCLUSIVE RIGHT TO CONTROL THE DEFENSE, SETTLEMENT, AND SELECTION OF COUNSEL FOR ANY CLAIMS SUBJECT TO YOUR INDEMNIFICATION OBLIGATIONS—AT YOUR COST AND EXPENSE.

The Aether Loop will make a good-faith effort to notify you if we become aware of circumstances giving rise to your indemnification obligations.

15. Waivers and Disclaimers Required for Use of Our Services

CERTAIN JURISDICTIONS MAY LIMIT OR FORBID CERTAIN EXCLUSIONS, LIMITATIONS, WAIVERS, AND DISCLAIMERS APPEARING THROUGHOUT THIS AGREEMENT, INCLUDING THOSE IN THIS SECTION. ACCORDINGLY, SOME OR ALL OF THE FOLLOWING MAY NOT APPLY TO YOU IN ITS ENTIRETY.

TO THE MAXIMUM EXTENT ALLOWED UNDER APPLICABLE LAW, YOU AGREE TO THE FOLLOWING DISCLAIMERS AND WAIVERS IN FULL:

a. No Warranties
NEITHER THE AETHER LOOP NOR OUR AFFILIATES PROVIDE ANY WARRANTIES REGARDING OUR SERVICES OR PRODUCTS, EXCEPT THOSE EXPRESSLY STATED IN THESE TERMS.

ALL SERVICES, PRODUCTS, AND FEATURES ARE PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE," WITHOUT ANY EXPRESS OR IMPLIED WARRANTY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

Merchantability,
Fitness for a particular purpose,
Title,
Non-infringement,
Operability,
Condition,
Accuracy, and
Value.

THIS DISCLAIMER APPLIES REGARDLESS OF WHETHER THE WARRANTY IS EXPRESS OR IMPLIED, OR WHETHER IT ARISES FROM PERFORMANCE, TRADE USAGE, OR PRIOR DEALINGS.

Lab Results,
Aether Loop Content,
Personalized Offerings,
Third-Party Offerings, and

Lab Results and their interpretation.
Aether Loop Content and any related analysis.

YOU AGREE THAT THE AETHER LOOP AND OUR AFFILIATES SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM RELIANCE ON LAB RESULTS, AETHER LOOP CONTENT, OR OTHER DATA PROVIDED THROUGH OUR SERVICES THAT CONTAINS ERRORS OR OMISSIONS.

Additionally, you agree that neither The Aether Loop nor our Affiliates shall be liable for losses related to the inability to access data or information obtained through our Services or third-party providers, including but not limited to:

Deletion or failure in transmission,
Interruption or delay,
Defects or unauthorized access,
Theft, viruses, operational failure,
Communications failures or destruction, and
Acts of God or force majeure events.

e. No Guarantees on Accuracy or Availability of Data
NEITHER THE AETHER LOOP NOR OUR AFFILIATES WARRANT OR REPRESENT THAT AETHER LOOP CONTENT OR LAB RESULTS WILL BE COMPLETE, ACCURATE, USEFUL, PRECISE, UP-TO-DATE, AVAILABLE, RELIABLE, OR MEET A PARTICULAR STANDARD OR QUALITY.

YOUR ACCESSIBILITY TO OUR SERVICES MAY BE IMPACTED BY FACTORS SUCH AS:

Location,
Internet connection,
Device type,
Bandwidth, and
Concurrent traffic.

YOU AGREE THAT THE AETHER LOOP SHALL NOT BE LIABLE FOR THE UNAVAILABILITY OR INACCESSIBILITY OF OUR SERVICES OR ANY RELATED FEATURES.

f. Security Limitations and Data Protection
THE AETHER LOOP IMPLEMENTS REASONABLE SECURITY SAFEGUARDS TO PROTECT YOUR PERSONAL INFORMATION. HOWEVER, YOU ACKNOWLEDGE AND ACCEPT THAT—EVEN WITH STRICT SECURITY MEASURES—WE CANNOT GUARANTEE THAT:

(i) Your Personal Information, data, content, materials, or technology will be 100% secure from unauthorized access or misuse.
(ii) Our Services will remain free from viruses, malware, Trojan horses, worms, or other harmful components.
(iii) Our platform will not be impacted by cyberattacks, such as Distributed Denial of Service (DDoS) attacks.
(iv) Transmission, collection, storage, and receipt of data will be completely secure or uninterrupted.

ACCORDINGLY, THE AETHER LOOP AND OUR AFFILIATES DISCLAIM ALL LIABILITY ARISING FROM:

Unauthorized access or misuse of data, including Personal Information.
Security breaches related to your account or device.
Harmful code or material affecting your data, device, or property.
Unauthorized account access due to stolen credentials, social engineering, or misrepresentation.

YOU ACKNOWLEDGE AND AGREE THAT TRANSMITTING DATA THROUGH OUR SERVICES IS AT YOUR OWN RISK.

g. No Guarantee of Error-Free or Uninterrupted Services
NEITHER THE AETHER LOOP NOR OUR AFFILIATES WARRANT OR REPRESENT THAT OUR SERVICES—INCLUDING BUT NOT LIMITED TO FACILITATION OF LABORATORY SERVICES, RECEIPT OF LAB RESULTS,AI ENGINE AND MOBILE APP—HAVE FUNCTIONED OR WILL FUNCTION WITHOUT ERRORS OR INTERRUPTIONS.

Additionally, The Aether Loop does not warrant or guarantee that we will:

Address any malfunctions or defects.
Preserve any Aether Loop Content, Lab Results, or other documents or data.
Review any products or services.
Conduct updates, improvements, or modifications to our offerings.

16. Choice of Law and Jurisdiction

a. Choice of Law
Any claim arising out of or relating to The Aether Loop, our Affiliates, our Services, our Products, transactions involving our Services or Products, third-party Offerings provided through our Services, and/or these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles, except to the extent that California law is preempted or inconsistent with federal law. Nothing in this Section limits any non-waivable consumer protections of your place of residence where required by law.

b. Venue and Jurisdiction
Except to the extent that a dispute is subject to arbitration or brought in small claims court as outlined in Section 17 below, the parties agree that all disputes must be litigated in state or federal courts located in the State of Washington.

You and The Aether Loop waive any defense or claim regarding:

Lack of personal jurisdiction,
Improper venue, or
Forum non conveniens.

c. U.S. Jurisdiction; Foreign Access
The Aether Loop operates from the United States, and our Services are intended only for use by individuals located within the United States.

We do not intend to be subject to non-U.S. laws or jurisdictions, and you agree not to pursue claims, disputes, or controversies against The Aether Loop that would subject us to foreign laws or jurisdictions.

Furthermore, The Aether Loop does not make any representation or warranty that our Services—including but not limited to our website, Aether Loop Content, and Lab Results—are accessible, legally permitted, or appropriate for use outside the United States.

If you access our Services from outside the United States, you:

Assume all risk, liability, and responsibility for ensuring compliance with local laws, rules, and regulations.
Acknowledge that The Aether Loop does not guarantee compliance with international legal standards.
Recognize that, if residing or located in a country outside the United States (e.g., within the European Union), you are transferring data to the United States, which may have different data protection laws, privacy regulations, and disclosure policies than your country of residence.

17. Binding Arbitration of Disputes on an Individual Basis

a. Claims Subject to Arbitration
To the fullest extent permitted by applicable law, you and The Aether Loop agree to arbitrate all Claims arising from or relating to The Aether Loop, our Affiliates, these Terms, our Services, our Products, transactions involving our Services or Products, Personal Information, and third-party Offerings accessed through our Services or Products.

This arbitration provision is intended to be broadly interpreted and includes, but is not limited to:

Claims relating to our facilitation of third-party laboratory services, your Sample, Sample analysis, Lab Results, related documents, communications, or data, and any actions or omissions connected thereto.
Claims involving any aspect of the relationship between you and The Aether Loop, whether based in contract, tort, negligence, fraud, misrepresentation, trespass, or other statutory or common-law theories.
Claims arising from interactions with or actions taken by The Aether Loop, our Affiliates, or third-party providers.
Claims related to Aether Loop Content, your receipt, review, or distribution of it, and any actions or omissions arising therefrom.
Claims concerning The Aether Loop’s use, protection, or disclosure of information about you, including Personal Information.
Claims relating to The Aether Loop’s marketing or advertising of third-party products and services.
Claims that arose before your acceptance of these Terms, including those related to advertising or disclosures.
Claims arising after termination of these Terms or any other agreement between you and The Aether Loop.
Except as specified in Section 17.b, any disputes regarding interpretation, applicability, scope, waiver, or enforceability of this arbitration provision, including whether a Claim must be arbitrated.

In this Section 17, references to "The Aether Loop, we, our, and us" include our predecessors, current and future subsidiaries, Affiliates, related entities, and all authorized or unauthorized users or beneficiaries of our Services or Products.

By agreeing to these Terms, you and The Aether Loop waive the right to a trial by jury or participation in a class action.

These Terms evidence a transaction in interstate commerce, and therefore the Federal Arbitration Act governs interpretation and enforcement of this arbitration provision.

This arbitration provision shall survive termination of your use of our Services.

17. Binding Arbitration of Disputes on an Individual Basis

b. Claims Not Subject to Arbitration
Notwithstanding the foregoing, you or The Aether Loop may bring an action in your local small claims court, seeking only individualized relief, so long as the action remains in that court and is not removed or appealed to a court of general jurisdiction.

If your jurisdiction permits small claims court judgments to be removed or appealed to a court of general jurisdiction for a trial de novo, then that appeal shall be resolved in arbitration in accordance with this arbitration provision.

This arbitration provision does not prevent either party from bringing issues to the attention of federal, state, or local agencies or law enforcement.

Further, any dispute over the applicability or enforceability of Section 17(b) shall be determined in a court of competent jurisdiction, unless both parties mutually agree otherwise in writing.

Either party may bring a claim related to intellectual property rights or seek temporary or preliminary relief or specific performance in any court of competent jurisdiction, without the requirement of posting bond or other security.

c. Class Action Waiver
The arbitrator may award relief (including but not limited to damages, restitution, declaratory relief, and injunctive relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted for that party's individual claim.

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, YOU AND THE AETHER LOOP EACH AGREE TO BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY.

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, YOU AND THE AETHER LOOP EACH AGREE NOT TO PURSUE OR RECOVER DAMAGES OR OTHER RELIEF IN CONNECTION WITH ANY CLAIMS IN A:

Class action,
Collective action,
Mass action,
Private attorney general proceeding, or
Other aggregated proceeding.

Unless both you and The Aether Loop agree otherwise, the arbitrator may not consolidate multiple claims or preside over any form of collective, class, mass, or private attorney general action.

If, after exhaustion of all appeals, any prohibition on non-individualized relief is found unenforceable for a particular claim, then the parties agree that such a claim or request for relief shall be decided by a court of competent jurisdiction, while all other claims and requests for relief shall be arbitrated.

17. Binding Arbitration of Disputes on an Individual Basis

d. Arbitration Procedures
A Party intending to seek arbitration must first send a written Notice of Dispute to the other Party.

A Notice of Dispute to The Aether Loop must be addressed to:
The Aether Loop, Inc., Attn: Legal Department, [Insert Address].
A Notice of Dispute to you will be sent to the last address you provided to The Aether Loop.

The Notice of Dispute must:

(i) Provide your name, address, phone number, and the email address on file.
(ii) Describe the nature and basis of the claim or dispute.
(iii) Set forth the specific relief sought.

The Parties agree to negotiate regarding any claim or dispute subject to a Notice of Dispute for not less than sixty (60) days from the receipt of the Notice.

If the Parties fail to resolve the claim within 60 days, either party may commence arbitration with JAMS, which will administer the arbitration under its Consumer Arbitration Rules in effect at the time ("JAMS Rules"), provided that arbitration must be initiated before the expiration of the statute of limitations that would have applied in a court of competent jurisdiction.

You may obtain a copy of the JAMS Rules by visiting jams.org.

If JAMS is unavailable, another provider will be selected by agreement or by the court under 9 U.S.C. § 5.

Except as specified in this Agreement (e.g., exclusions around Claims and Losses), the arbitrator may award the same remedies available under applicable law as a court.

The arbitrator may consider rulings in other arbitrations but shall not be bound by them in proceedings involving different customers.

Unless both parties agree otherwise, arbitration hearings will be conducted via video conference or telephone, resolved based on written submissions, or, if required, at the JAMS location closest to your billing address.

Regardless of the arbitration format, a single arbitrator will oversee arbitration—either as mutually agreed upon within ten (10) business days after commencement, or determined per the JAMS Rules—and shall issue a reasoned written decision.

The arbitration award shall be final and binding, and judgment may be entered in any court with jurisdiction, including any state or federal court in Seattle, Washington, which both parties agree shall be the jurisdiction and venue.

Judgment shall not be subject to modification, appeal, or vacation except as allowed by Sections 10 and 11 of the Federal Arbitration Act, which the Parties agree apply to these Terms.

Except as otherwise explicitly stated, the arbitrator shall have the sole and final authority to decide the validity, applicability, and scope of the arbitration provisions in this Agreement, including whether a claim is arbitrable.

e. Arbitration Fees
If The Aether Loop initiates arbitration, or you initiate arbitration for claims valued at $25,000 or less, The Aether Loop shall cover all JAMS filing, administration, case management, hearing, and arbitrator fees ("JAMS Fees"), provided that you comply fully with the Notice of Dispute requirements in Section 17.d.

For claims exceeding $25,000, JAMS Fees shall be governed by the JAMS Rules.

Nothing in Section 17.e prevents the arbitrator from reallocating arbitration fees per JAMS Rules, should the arbitrator determine that a claim violates standards set under Federal Rule of Civil Procedure 11.

f. 30-Day Period to Reject Arbitration
You may opt out of this arbitration provision within thirty (30) days of execution by submitting written notice to:

If you opt out of arbitration, you agree that all other Terms and agreements between you and The Aether Loop shall remain in full force and effect, including any prior arbitration agreements applicable to specific transactions.

g. Time Limitation on Claims
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE AETHER LOOP AGREE THAT ANY CLAIM, DISPUTE, CONTROVERSY, OR CAUSE OF ACTION RELATED TO:

The Aether Loop, our Affiliates, these Terms, our Services, our Products, transactions involving our Services or Products, Personal Information, or third-party Offerings accessed through our Services

SHALL BE PERMANENTLY BARRED IF NOT FILED OR SUBMITTED FOR ARBITRATION WITHIN ONE YEAR of when the party knew or reasonably should have known about the issue.

18. Miscellaneous

a. Assignment and Transfer of Rights
Except as expressly permitted in writing by The Aether Loop, you may not assign, delegate, sell, or transfer any of your rights or obligations under these Terms.

Any attempted assignment or delegation in violation of this provision is null and void.

No assignment or delegation relieves you of any obligations under these Terms.

Notwithstanding anything to the contrary, The Aether Loop may freely assign, delegate, sell, and transfer its rights and obligations under these Terms—including in circumstances of sale, merger, acquisition, reincorporation, consolidation, reorganization, or other change of control.

These Terms shall be binding on the Parties’ heirs, permitted assigns, administrators, and legal representatives, and shall inure to the benefit of the Parties and their successors and assigns.

b. Force Majeure
You acknowledge and agree that The Aether Loop shall not be liable or deemed to have defaulted on these Terms due to any failure or delay in fulfilling an obligation beyond our reasonable control, including but not limited to:

Acts of God,
Severe weather events,
Transportation disruptions,
Utility slowdowns or shutdowns,
Labor strikes and protests,
Border delays,
Health crises, pandemics, or lockdowns,
Acts of war or terrorism, and
Government actions or regulatory changes.

c. Severability
If any portion of these Terms is held unenforceable, the unenforceability shall be construed as narrowly as possible to comply with applicable law.

Such unenforceability will not invalidate or render unenforceable the remaining provisions in other jurisdictions.

The remainder of these Terms shall remain in full force and effect to the extent legally permissible.

d. Language and Interpretation
Any translation of these Terms, Lab Results, or Aether Loop Content is provided for convenience only.

In the event of any discrepancy between the translated version and the English version, the English version shall govern.

Additionally, section headings and titles are provided strictly for convenience and do not hold legal or contractual significance.

e. Waiver and Modification
No waiver under these Terms is valid unless it is in writing, clearly identified as a waiver, and signed by an authorized representative of the waiving Party.

Any failure to enforce strict adherence to these Terms shall not constitute a waiver, nor shall it diminish or alter the effect of any requirement stated herein.

These Terms may only be amended or modified in writing, with the explicit consent of both Parties.

f. Interpretation of Errors and Ambiguities
If these Terms contain any errors or ambiguities related to spelling, grammar, syntax, or other inconsistencies, such errors shall be interpreted in a manner that reflects the intent of both Parties. This includes, but is not limited to:

(a) Ambiguities in the usage of “and,” “or,” or “and/or”, which shall be construed in context.
(b) Misinterpretations regarding the term “including”, which shall mean “including without limitation”, rather than implying exclusion unless otherwise noted.
(c) Uncertainty regarding the use of “Service,” “Services,” or “Service(s)”, which shall not render language inapplicable based on singular or plural usage.

The Parties agree that these Terms shall be interpreted as if drafted jointly. No presumption or burden of proof shall arise in favor or against either Party based on authorship. The language used represents mutual intent, and no rule of strict construction shall be applied against either Party.

g. Notices and Communications
All notices, requests, consents, claims, demands, waivers, or other communications from you to The Aether Loop in connection with these Terms (each, a “Notice”) must be in writing and addressed to:

All Notices must be delivered via:

Personal delivery,

Nothing in these Terms, express or implied, grants any legal or equitable right, benefit, or remedy to any other person or entity.

i. Entire Agreement and Conflict Resolution
These Terms, including the Privacy Policy, together with any membership agreement or consent for Services, constitute the entire agreement between you and The Aether Loop regarding our Services.

These Terms supersede all prior or contemporaneous agreements, whether oral or written, concerning our Services.

In the event of a conflict between The Aether Loop’s Terms and any third-party terms, The Aether Loop’s Terms shall control.

If you believe that your copyrighted work appears in connection with our Services or is accessible through our Services in a way that constitutes copyright infringement, please notify The Aether Loop by submitting a written notice to the address listed below.

A description of the copyrighted work allegedly infringed, including details of the infringing activity.

20. Referral Program Terms

If you are participating in The Aether Loop Referral Program ("Referral Program"), the following terms and conditions ("Referral Program Terms") apply to your participation, in addition to all other provisions of these Terms and The Aether Loop’s Privacy Policy.

Modification or Termination of the Referral Program

The Referral Program is offered at the sole discretion of The Aether Loop, and we reserve the right to terminate, suspend, or modify the Referral Program—including these Referral Program Terms—at any time, for any reason.

Without limiting the generality of the foregoing, we may:

Deactivate your referral code ("Code"),
Modify the Referral Fee,
Change eligibility conditions, or
Adjust any other aspect of the Referral Program effective immediately.

Your continued participation in the Referral Program after modifications take effect constitutes binding acceptance of those modifications.

Referral Code Usage

(i) Personal Use Only
Your Referral Code ("Code") is personal to you and must be shared directly and personally with your personal network.

You must not:

Share your Code with any individual engaged in a commercial operation related to membership enrollment or discount codes.
Employ another individual to promote or circulate your Code.

(ii) Compliance with Advertising Guidelines
You must comply at all times with the Federal Trade Commission’s ("FTC’s") Guides Concerning the Use of Endorsements and Testimonials in Advertising and the FTC’s Endorsement Guides: What People Are Asking (collectively, the "FTC Guides") while participating in the Referral Program.

To comply with the FTC Guides, you must:

Clearly disclose that you may receive a referral fee from The Aether Loop if the recipient uses your Code to sign up (e.g., "This is a paid referral").
Follow The Aether Loop’s Referral Program Content Guidelines ("Content Guidelines") at all times.

If we become aware of a violation or suspect one (as determined solely by us), we reserve the right to:

Deactivate your Code immediately,
Suspend or terminate your participation, and
Deny any pending Referral Fees.

(iii) Restrictions on Self-Use
You cannot use your Code to purchase membership for yourself or another person, including renewing your membership.

(iv) Prohibited Distribution Methods
You must not, directly or indirectly:

Use scripts, bots, automatic dialers, or other AI-driven automated technologies to mass-distribute your Code.
Share or distribute your Code via text or email in violation of the Telephone Consumer Protection Act ("TCPA"), the CAN-SPAM Act, or any other applicable law.
Engage in any actions intended to influence an individual’s purchase of laboratory testing or healthcare services.

(v) Restrictions on Commercial Promotion
You must not:

Post or promote your Code on any commercial media properties, including commercial websites or social media accounts.
Share your Code on coupon websites or platforms designed to leverage referral traffic.

4. Compensation

(i) Referral Fee

You will receive a Referral Fee of One Hundred U.S. Dollars ($100.00) for each Qualifying Referral, subject to these Referral Program Terms.

There is no limit to the number of Qualifying Referrals or the amount of Referral Fees you can receive.

A "Qualifying Referral" is an individual who:

Opens a new Account (i.e., does not have and has never had an account for the Services) (“New Account”) with at least a Basic Membership using your Code.
Maintains the New Account in an active status for at least sixty (60) days from the effective date of opening.

“Basic Membership” refers to the standard membership account, which includes:

Access to concierge and technology services,
Exclusive content, such as webinars or curated resources, and
Product and service offerings.

However, Basic Membership does not include purchases of third-party laboratory testing, medical services, or other healthcare items or services.

A New Account will only qualify for a Referral Fee if:

(a) You have complied with all applicable Referral Program Terms and these Terms when referring the New Account.
(b) The registrant of the New Account is a Qualifying Referral who used your Code at the time of sign-up.

(ii) Tracking Qualifying Referrals

We will provide you with periodic updates via email regarding the number of Qualifying Referrals generated using your Code.

(iii) Remitting Referral Fee

Referral Fees will be paid to you through Impact, via direct deposit to your designated bank account, as per the valid banking information provided by you to Impact.

Payment for referrals will be processed within thirty (30) days after a referral qualifies for payment under Section 4(i).

To receive Referral Fees, you must have a valid bank account, and you are solely responsible for keeping your bank account information up to date with Impact.

All federal, state, and local taxes (including income and withholding taxes) associated with your Referral Fees are solely your responsibility, except that Impact may withhold taxes as appropriate in accordance with Impact’s policies.

(iv) Limitations on Referral Fee

The Referral Fee is payable only on a Qualifying Referral’s first membership payment and does not apply to renewals or other purchases made by the Qualifying Referral through The Aether Loop’s Services.

Limit one Referral Fee per Qualifying Referral, regardless of the number of Accounts opened or Services purchased by the referred individual.

Exclusions from Referral Fee Eligibility

You will not be entitled to a Referral Fee in connection with any Qualifying Referral that results from or relates to:

(a) An error on our part.
(b) Fraudulent conduct (by you, the Qualifying Referral, or any other party).
(c) Your acts or omissions that violate the Referral Program Terms or any other provision of these Terms.
(d) A technical malfunction affecting referral processing.
(e) Interference with The Aether Loop’s systems or technologies.
(f) Third-party acts or omissions (whether intentional or negligent) that negatively impact referral determination, qualification, tabulation, or payment (collectively, "Extenuating Circumstances").

Impact of Account Suspension or Termination

If your Account is suspended, you will not receive Referral Fees for Qualifying Referrals generated during the suspension period.
If your Account is terminated:

(a) If terminated for cause, you will forfeit any unpaid Referral Fees.
(b) If terminated due to membership expiration, The Aether Loop

If we determine—at our sole, final, and reasonable discretion—that any Referral Fees already paid to you should not have been issued due to Extenuating Circumstances, you agree that:

Within fourteen (14) days of receiving a written, detailed demand, you will return any improperly issued Referral Fees to The Aether Loop at the designated address or account information provided.

We reserve the right to offset any Referral Fees due to you with amounts owed by you to The Aether Loop due to an improper payment of Referral Fees.

6.-License

Notwithstanding any provisions to the contrary, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license during your participation in the Referral Program to use The Aether Loop’s name, logo, and slogan.

This license is strictly limited to sharing your Referral Code for purposes of generating referrals in compliance with the Referral Program Terms and must adhere to our branding and use guidelines.

All rights not explicitly granted under these Referral Program Terms are reserved by The Aether Loop.

Warranties, Requirements, and Covenants

You represent, warrant, and covenant as follows:

You are not a practicing healthcare professional.
You will not seek or accept compensation—in the form of a Referral Fee or otherwise—for referrals related to third-party laboratory services, medical services, or healthcare-related items or services.

 You will comply with all applicable laws, regulations, and guidelines governing participation in the Referral Program, including but not limited to:

FTC Guides,
Eliminating Kickbacks in Recovery Act,
CAN-SPAM Act,
TCPA,
State kickback laws,
State laws governing professional practices, and
All applicable advertising, marketing, consumer protection, and privacy laws.

You will not solicit, encourage, aid, incite, or engage in any fraudulent, deceptive, or unlawful acts in connection with the Referral Program.
You will not attempt to manipulate or engage in any measures intended to obtain a Referral Fee in violation of the Referral Program Terms.

Verification of Eligibility

We reserve the right to verify your eligibility to participate in the Referral Program or receive Referral Fees, as well as your compliance with the Referral Program Terms.

The Aether Loop may terminate or suspend your participation if we determine—at our sole discretion—that you are:

In breach of the above representations, warranties, and covenants.
Not in compliance with the Referral Program Terms and/or these Terms.

The Aether Loop Disclaimer of Warranties & Limitation of Liability

WITHOUT LIMITING THE GENERAL DISCLAIMERS, WARRANTIES, AND EXCLUSIONS SET FORTH ELSEWHERE IN THESE TERMS, THE AETHER LOOP MAKES NO WARRANTY OF ANY KIND REGARDING THE REFERRAL PROGRAM OR REFERRAL FEES YOU MAY EARN THROUGH PARTICIPATION.

Furthermore, The Aether Loop is not responsible or liable for any express or implied warranty, representation, or guarantee, including but not limited to:

Whether the Referral Program is error-free.
Accuracy, completeness, functionality, or timeliness of your Code.
Tabulation of Qualifying Referrals.
Calculation or payment of Referral Fees.
Acts or omissions of Impact.

The Limitation of Liability outlined elsewhere in these Terms applies fully to your participation in the Referral Program.
